Advice and Counsel

Our representation and legal counsel is comprehensive, and includes:
- Documenting and restructuring loan and credit transactions
- Representing asset-based and real estate lenders in foreclosure proceedings and loan workouts and restructurings
- Advising senior and subordinated lenders on intercreditor issues and second-lien financing arrangements
- Representing secured and unsecured creditors in the enforcement of rights and remedies under state and federal law
- Serving as litigation counsel in complex commercial cases such as lender-liability suits, lien enforcement proceedings, preferential and fraudulent transfer litigation, successor-liability claims, intercreditor disputes, plan confirmation, and other contested bankruptcy matters
- Representing creditors, business debtors, trustees, and third parties in all aspects of bankruptcy, receivership, and other insolvency proceedings throughout the country
- Structuring financing, licensing, and other transactions in light of bankruptcy considerations
- Representing buyers and sellers of businesses and assets in bankruptcy cases (commonly referred to as Section 363 sales)
- Serving as legal counsel and advisers to business debtors and guarantors in a full range of business law issues, including debt restructuring arrangements, business reorganizations, and liquidations
- Counseling boards of directors, equity holders, and management on risk management and issues that threaten the continued viability of the business, including capital requirements, loan maturities, operational deficiencies, outstanding trade payables, and mechanisms for addressing business challenges through out-of-court restructurings such as debt conversions, equity offerings, compromise arrangements, assignments for the benefit of creditors, strategic sale transactions, and the benefits and drawbacks of resorting to bankruptcy
- Representing trustees, official and ad hoc committees, vendors, and shareholders in various bankruptcy proceedings and other distress transactions
- Negotiating post-petition financing arrangements and plans of reorganization on behalf of various constituencies
- Representing landlords and other parties to leases and executory contracts in bankruptcy proceedings
- Advising private equity firms and portfolio companies on secured-financing arrangements, acquisition, and divestiture transactions and business rehabilitation strategies

Jim co-chairs Lindquist & Vennum’s 15-member Bankruptcy and Creditors’ Remedies group. His practice encompasses bankruptcy, debtor-creditor issues, agribusiness matters, and commercial lending and litigation. He regularly represents several clients in acquiring or selling assets and businesses via Section 363 sales and plans of reorganization arising from bankruptcy proceedings. Certified in business bankruptcy law by the American Bankruptcy Board of Certification, Jim has large companies, lenders, creditor committees, trade creditors and individuals in bankruptcy proceedings, litigation and workouts.

After law school, Jim spent two years as the judicial law clerk to the Honorable William A. Hill, United States Bankruptcy Judge for the District of North Dakota. He became an associate with Lindquist & Vennum in 1987 and a partner in 1993. He speaks and writes extensively on various bankruptcy, debtor-creditor and agricultural law topics.

Jim has been selected as a Super Lawyer®, is included in Best Lawyers in America®, and is AV rated by Martindale-Hubbell. He is a member of the Minnesota State Bar Association’s Bankruptcy Section.
